This agreement is entered into between Greenkardpro Limited and your business (the “Vendor”) as detailed above (the “Parties”) and is effective immediately. You reserve the right to cancel this agreement.

BACKGROUND

1. By entering into this agreement, the Parties agree to abide by the provisions, undertakings, obligations and all other terms contained herein and to be bound by it.

2. The Parties agree that this agreement will be valid for a period of 12 months, with a 6 month break where either Party may end the agreement with a written notice of at least 1 month.

3. The specified period will begin to run from the date of the signing of this agreement or ticking the relevant box if online.

4. The Parties agree that the discount and or any other element of this Agreement may not be varied without the express written consent of both Parties.

5. The service is exclusive to Creative Professionals; meaning all those that work professionally in the Creative Arts, Media and Entertainment industries and shall not be made available through any other source or to any other group of Creative Professionals.

RIGHTS and OBLIGATIONS 

THE VENDOR 

6. The Vendor undertakes to provide the specified on-going discount to members of GREENKARDPro (GK), on their purchases, upon the presentation of the GK discount card or a valid code if online, until this agreement comes to an end.

7. The Vendor undertakes that the GK discount card will be valid at all their business premises unless expressly agreed otherwise with the business in writing.

8. The Vendor shall reserve the right to exclude GK members from using their discount card in conjunction to or concurrent with any other on-going offers, but shall allow GK members to use their card separately from any other offers.

9. The Vendor acknowledges that the discount and offers will be advertised as part of the contractual relationships between them, GK and third parties, and that it is their responsibilities to ensure that, their company and its staff, are at all times compliant with the obligation under this Agreement to provide the discount specified.

10. The Vendor agrees to indemnify and keep indemnified GK from and against all costs, claims, demands, liabilities, damages, expenses or losses howsoever arising out of or in connection with any breach of this Agreement.

11. The Vendor acknowledges that the indemnity set out in clause 10 above applies to any legal and other administrative costs and damages incurred by GK and or its Members in consequence of any breach by the Vendor of its obligations herein.

12. The Vendor agrees to make use of GK name, logo, stickers and other marketing materials provided in store and online to notify customers of their partnership with the GK discount scheme, throughout the term of this Agreement.

13. The Vendor hereby permits GK to use and display their company name, logos and offers on its website, social media and on other official promotional materials.

14. The Vendor acknowledges that no guarantees or assurances have been given by GK as to the consequences of the discount, and for the avoidance of doubt, no claim shall lie against GK in the event that the discount scheme produces no beneficial effect upon the Vendor.

THE BUSINESS

15. The Business agrees to promote the Vendor’s business on its website and newsletter.

16. The Business agrees to provide its stickers and/or GK logo to the Vendor for use in store and online to notify customers that they are partners of the GK discount scheme.

17. The Business agrees to provide all Vendors offering more than 50% discount on their products and services the following services on the Gold partnership package;

i) Up to 2 free exclusive email blasts per annum;

ii) Further discount of 20% on all optional services;

iii) Listing on the GK website partner directory;

iv) Listing on the monthly Newsletter;

v) Side banner on the website highlighting discounts and on-going promotions;

vi) Access to GK promotional items including stickers for tills and shop window;

vii) Mention on social media sites and industry publications.

18. The Business agrees to give all Vendors offering between 30-49% discount on their product and services the following services on the Silver partnership package;

i) Up to 1 free exclusive email blast per annum;

ii) Discount of 10% on all optional services;

iii) Listing on the GK website partner directory;

iv) Listing on the monthly Newsletter;

v) Side banner on the website highlighting discounts and on-going promotions;

vi) Access to GK promotional items including stickers for tills and shop window;

vii) Mention on social media sites and industry publications.

19. The Business agrees to give all Vendors offering between 10-29% discount on their product and services the following services on the Bronze partnership package;

i) Listing on the GK website partner directory;

ii) Listing on the monthly Newsletter;

iii) Side banner on the website highlighting discounts and on-going promotions;

iv) Access to GK promotional items including stickers for tills and shop window;

v) Mention on social media sites and industry publications.

20. The Business shall not be held liable for any dispute arising out of the third party relationship between the Vendor and their customers, including members of GK.

THE LAW

21. The Parties acknowledge that this Agreement sets forth the entire agreement between them with respect to provision of the Services and supersedes and replaces all other communications, drafts, representations, warranties, stipulations, undertakings and/or agreements of any nature, whether oral or written, or by any other form between the Parties.

22. The Parties agree that this agreement shall be governed by the Laws of England and Wales, and any disputes will be subject to the jurisdiction of the English Courts.

23. The Parties further agree that any dispute arising out of this agreement shall first be subject to a method of Alternative Dispute Resolution (ADR), namely Mediation, before commencing any legal proceedings.

24. By ticking the relevant box below, the representatives undertake that they have read and understood the terms contained in this agreement and that they have the authority to enter into this agreement on behalf of the Vendor Company.
